1. Agreement Overview

This Data Management Services Agreement ("Agreement") is entered into between S.J. Consulting Group Asia ("Service Provider") and [Client’s Name] ("Client") for the provision of data management services. This Agreement outlines the terms and conditions under which the Service Provider will deliver the services selected by the Client.

2. Services Provided

The Service Provider agrees to provide the following services as selected by the Client:

• Manual Data Entry Services:
  Accurate and timely manual data entry of provided documents and data.

• OCR Recognition Services:
  Utilization of advanced Optical Character Recognition (OCR) technology to convert printed or handwritten documents into digital formats.

• Paper to Paperless Conversion:
  Scanning, digitizing, and organizing paper documents to create a seamless paperless environment.

• Data Storage:
  Secure storage of digitized documents and data.

3. Term of Agreement

This Agreement shall commence on the date it is signed and shall remain in effect until the completion of the services or until terminated by either party as outlined in Section 8.

4. Pricing and Payment

The Client agrees to pay for the services at the agreed-upon rate, which can be based on either:

• Hourly Rates: Flexible pricing based on the number of hours required to complete the services.
• Fixed Long-term Monthly Rates: Consistent support and cost-effective solutions for ongoing data management needs.

Invoices will be issued [monthly/bi-monthly/weekly] and are due within [30] days of receipt. Late payments may incur additional charges as specified in the invoice.

5. Client Responsibilities

The Client agrees to provide all necessary documents and information required for the Service Provider to perform the selected services. The Client is responsible for ensuring that the provided information is accurate and complete. The Client will also designate a point of contact to facilitate communication and decision-making throughout the duration of the services.

6. Confidentiality

The Service Provider agrees to maintain the confidentiality of all Client data and documents. All data will be securely stored and handled in compliance with applicable data protection regulations. The Service Provider will not disclose any confidential information to third parties without the prior written consent of the Client, except as required by law.

7. Data Security

The Service Provider will implement industry-standard security measures to protect the Client’s data from unauthorized access, alteration, disclosure, or destruction. This includes secure data storage solutions, encryption, and regular security audits.

8. Termination

Either party may terminate this Agreement with [30] days written notice. In the event of termination, the Client agrees to pay for all services rendered up to the termination date. The Service Provider will return all Client data and documents upon termination, or securely dispose of them if requested by the Client.

9. Limitation of Liability

The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the performance of this Agreement. The total liability of the Service Provider shall not exceed the amount paid by the Client for the services.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State]. Any disputes arising from this Agreement shall be resolved through mutual negotiation, and if necessary, through arbitration in accordance with the rules of [Arbitration Organization].

11. Entire Agreement
